These Terms & Conditions ("Terms") govern your access to and use of the BandBoard website, applications and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account or using the Service in any way, you confirm that you are at least 13 years of age (or the minimum age of digital consent in your jurisdiction) and that you have read, understood and agree to these Terms and our privacy practices.
2. Changes to These Terms
BandBoard is under active development, and the Service — including features, pages and data — is subject to change at any time without notice. We may modify these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
3. Your Account
You sign in to BandBoard using a third-party identity provider (such as Google). You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. User Content
The Service allows you to create, upload and share content such as songs, lyrics, setlists, venue details, profile information and messages ("User Content"). You retain ownership of your User Content. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display and distribute that content solely for the purpose of operating and improving the Service.
You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights, licenses and permissions to post it — including rights to any song lyrics, compositions or recordings — and that it does not infringe the intellectual-property or other rights of any third party.
5. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable law;
Post content that is infringing, defamatory, harassing, hateful, obscene or otherwise objectionable;
Send spam, including abusing invitations, friend/follow requests or email features;
Impersonate any person or entity, or misrepresent your affiliation with anyone;
Attempt to gain unauthorized access to the Service, other accounts or our systems;
Interfere with or disrupt the Service, or use automated means to scrape or harvest data.
6. Copyright & Infringement Claims
We respect intellectual-property rights and expect users to do the same. If you believe content on the Service infringes your copyright, please contact us with sufficient detail to identify the material and your claim. We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers.
7. Email & Communications
By using the Service you consent to receive service-related emails (such as request notifications and invitations you trigger). Invitation and messaging features are rate-limited and monitored to prevent abuse. You must have the recipient's consent before sending invitations or messages to them.
8. Third-Party Services
The Service integrates third-party services such as Google sign-in and Google Maps. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their content or practices.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. BANDBOARD IS IN ACTIVE DEVELOPMENT: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT DATA WILL NOT BE LOST. PLEASE KEEP BACKUP COPIES OF ANY IMPORTANT CONTENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS OR FIFTY U.S. DOLLARS (US $50).
11. Indemnification
You agree to indemnify and hold harmless BandBoard and its operators from any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service or your violation of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice. Sections that by their nature should survive termination (including Sections 4, 9, 10 and 11) will survive.
13. Governing Law
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Nevada, and you consent to their jurisdiction.
